Terms of Service

Tribearium provides digital services including:

• AI-powered conversational agents deployed via WhatsApp, voice, and other messaging channels
• Manager dashboards and operational tooling connected to those agents
• Web design, development, automation, and related technical consulting

Specific deliverables, timelines, and scope for each engagement are outlined in the applicable project proposal or agreement. All projects require mutual agreement on scope, timeline, and deliverables. Requests outside agreed scope may be subject to revised pricing and timelines.

As part of our Services, Tribearium builds and operates AI-powered chat agents, voice agents, and automation tools using third-party AI service providers, including OpenAI, Anthropic, ElevenLabs, and Deepgram. These providers process conversational data solely to deliver the agreed services and are bound by their own data handling and security practices.

Where Tribearium deploys a WhatsApp-based agent on a client's behalf, that agent operates through Meta's WhatsApp Business Platform (Cloud API), and use of the platform is subject to Meta's own Business and WhatsApp policies in addition to these Terms.

Personal data collected through a client's deployed agent (e.g., customer names, contact details, reservation information) is processed in accordance with our Privacy Policy and is logically isolated per client — no client can access another client's customer data through their dashboard.

Projects follow a milestone-based or flat-fee payment schedule as outlined in the applicable agreement. Payments are due within 10 days of invoicing unless otherwise agreed.

All intellectual property created by Tribearium during a project is transferred to the client upon full payment, unless otherwise stated in writing. Pre-existing tools, templates, frameworks, or infrastructure components developed by Tribearium prior to or independent of the engagement remain the property of Tribearium Solutions LLC.

Tribearium provides estimated timelines and requires timely client feedback to meet deadlines. Communication is primarily handled through email, WhatsApp, or other channels agreed with the client. Delays caused by client feedback or data delivery may affect project completion dates.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project, unless explicit written consent is given to disclose it.

Either party may terminate an agreement with 30 days’ written notice. Work completed up to the termination date will be invoiced and must be paid in full.

Where Tribearium configures, manages, or operates a WhatsApp Business Account (WABA) on a client's behalf, Tribearium will do so in compliance with Meta's WhatsApp Business Platform policies, including template messaging requirements, opt-out handling, and data use restrictions. Clients remain responsible for the accuracy of business information (menu, hours, policies) provided to Tribearium for use in their deployed agent.

Tribearium Solutions will deliver services to the best of its professional ability but is not liable for indirect losses, business interruptions, or damages arising from the use of delivered work. The Services and any related content are provided “as is” without warranties of any kind, express or implied.

These Terms are governed by the laws of the State of Texas, United States.

We may update these Terms from time to time. The updated version will be indicated by a revised “Last updated” date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
